1. Acceptance of Terms

By accessing or using the ChatMob platform ("Service"), operated by MaxQ Interactive LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who create accounts, configure AI agents, or interact with AI agents deployed through the platform.

2. Description of Service

ChatMob is a software-as-a-service (SaaS) platform that enables businesses to create, configure, and deploy AI-powered conversational agents. These agents can be embedded on websites, connected to messaging channels, and integrated with third-party services to assist with customer engagement, lead capture, and service automation.

3. Account Registration

To use certain features of the Service, you must have an authorized MaxQ account with ChatMob access. You agree to provide accurate, current, and complete information and to update such information to keep it accurate and complete. You are responsible for safeguarding your MaxQ account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Generate, distribute, or facilitate spam, phishing, or deceptive communications
Impersonate any person or entity or misrepresent your affiliation
Transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Use AI agents to collect personal data without appropriate consent or disclosure
Deploy AI agents that provide medical, legal, or financial advice without appropriate disclaimers and professional oversight
Engage in any activity that disrupts or interferes with the Service

5. Subscriptions and Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our Pricing page. Subscription fees are billed in advance on a monthly or annual basis depending on your selected billing cycle.

We may change our fees at any time with at least 30 days' notice. If you do not agree to a fee change, you may cancel your subscription before the change takes effect. All fees are non-refundable except as expressly stated in these Terms or as required by law.

6. Free Plan and Usage Limits

We offer a free plan with limited features and usage quotas. We reserve the right to modify free plan limits at any time. If your usage exceeds the free plan limits, you may need to upgrade to a paid plan to continue using the Service without interruption.

7. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of MaxQ Interactive LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all content, data, and configurations you provide to the Service ("User Content"). By using the Service, you grant us a limited license to use, process, and store your User Content solely to provide and improve the Service.

8. AI-Generated Content

The Service uses artificial intelligence to generate responses through your configured agents. AI-generated content may not always be accurate, complete, or appropriate. You are responsible for reviewing and monitoring the outputs of your AI agents and for ensuring they comply with applicable laws and regulations.

We do not guarantee the accuracy or reliability of AI-generated responses and disclaim all liability for decisions made based on such content.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may cancel your account at any time from your account settings.

Upon termination, we may delete your account data and AI agent configurations after a reasonable retention period. We recommend exporting any data you wish to keep before canceling your account.

11. Limitation of Liability

To the maximum extent permitted by law, MaxQ Interactive LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
